Terms of Service

Version 2026-11-03 ·

These terms are an agreement between [MIZO legal name] Inc. (“MIZO”, “we”) and the business that creates a MIZO account (“you”, the “Client”). By ticking “I agree” or using MIZO, the person signing up confirms they are authorized to bind that business. MIZO is a business service; these terms do not apply to consumers. Version 2026-11-03.

1. The service

MIZO is online software for running a restaurant: inventory, recipes and costing, purchasing, sales, finance, team and operations, and optional AI features. What you can use depends on your plan. Features marked “Coming soon” are not part of your subscription until they are released.

2. Free trial

Each new restaurant can try MIZO free for 14 days, without a credit card. At the end of the trial, choose a plan to keep using MIZO; if you don’t, your account becomes read-only for 30 days so you can export your data, and is then closed. You are never charged for the trial.

3. Plans, prices and taxes

Prices are per location, per month, in Canadian dollars, and are shown on our pricing page: Essentials, Growth and Pro, or a Custom plan made of a base price and the modules you choose. GST and QST (or HST) are added. Subscriptions are billed monthly in advance, or yearly in advance if you choose a yearly plan.

We may change prices with at least 30 days’ written notice; the new price applies from your next billing period after the notice period. You can cancel before it applies.

4. Payment

Payment is due when billed. If a payment fails, we will tell you and try again; after 14 days unpaid we may limit your account to read-only until it is paid. Fees already paid are not refunded, except where these terms or the law say otherwise.

5. Your account and team

You are responsible for who you invite and the role you give them, for keeping access to email accounts secure, and for what is done in your account. Tell us right away at support@mizo.solutions if you believe your account has been misused.

6. Your data

You own the data you put in MIZO. You give us the right to store, process and display it only to provide, secure and support the service, and to create aggregated, de-identified statistics that cannot identify you or your restaurant. Our Privacy Policy explains how personal information is handled.

You confirm you have the right to enter the information you add, including information about your employees, and that you have told them about it as the law requires.

7. AI features and calculations

MIZO’s figures (costs, profit, forecasts, alerts) depend on the data you enter, and the AI features can make mistakes. Always check what MIZO reads from an invoice before saving it, and use MIZO’s numbers to inform your decisions, not replace your judgment. MIZO does not give accounting, tax, legal or payroll advice; consult a professional for those.

Automations alert you and prepare drafts; they never place orders, pay or change data on their own. We cannot guarantee that every alert or email arrives.

8. Acceptable use

Do not use MIZO to break the law, to access other restaurants’ data, to overload or attack the service, to copy or resell it, or to enter data you have no right to. We may set fair-use limits on AI features to keep the service available to everyone.

9. Availability and support

We work to keep MIZO available around the clock and give notice of planned maintenance when we can. Support is by email at support@mizo.solutions on Québec business days; Pro clients get priority. Service levels for signed agreements are set out in the Subscription Agreement.

10. Ending the subscription

You can cancel at any time in MIZO or by email; cancellation takes effect at the end of the paid period. We may end or suspend the service for serious or repeated breach of these terms, after notice where reasonable. After it ends, you can export your data for 30 days; it is then deleted as described in our Privacy Policy.

11. Warranties and liability

MIZO is provided as is and as available, without any warranty beyond what the law requires. To the extent permitted by law, neither party is liable for indirect or consequential losses, such as lost profits, revenue or data, and each party’s total liability is limited to the fees paid by the Client in the 12 months before the claim. These limits do not apply to intentional or gross fault, or to a breach of confidentiality or data protection obligations.

12. Intellectual property

MIZO, its software, design and name belong to us. Your subscription gives you a right to use MIZO for your restaurant during the subscription, not ownership. If you send us suggestions, we may use them freely.

13. Changes to these terms

We will give at least 30 days’ notice of a material change by email or in MIZO. If you don’t agree, you can cancel before it takes effect; continuing to use MIZO afterwards means you accept it.

14. General

These terms are governed by the laws of Québec and the federal laws of Canada that apply there; the courts of the judicial district of Montréal have jurisdiction. If a signed Subscription Agreement exists, it prevails over these terms where they differ. If any part is found invalid, the rest remains in force.

The parties have required that this document and all related documents be drawn up in English as well as in French. Both versions are equally binding; the French version was provided first.
